These general terms and conditions govern the sale of products, the provision of the Tracker4Fleet telematics and fleet management services, and the use of the Tracker4Fleet mobile application, regardless of the app store through which it was downloaded.

Article 1 · Definitions

For the purposes of these general terms and conditions, the following definitions apply:

• Powerconcept: the company Powerconcept SRL, whose registered office is established in Belgium, registered with the Crossroads Bank for Enterprises under number BE0818.795.509, operating in particular the Tracker4Fleet solution, as well as its affiliated companies or brands.
• Tracker4Fleet: telematics and fleet management solution developed and operated by Powerconcept.
• Client: any natural or legal person entering into a contract with Powerconcept relating to the supply of Products, the provision of Services and/or the rental of Products.
• User: any person authorised by the Client to use the telematics Services.
• Fleet / Asset: the Client's vehicles, machines, equipment, assets or teams to be tracked, located, analysed or monitored via the Services.
• Products: any equipment supplied by Powerconcept, whether purchased or rented, including in particular telematics devices, accessories, integrated SIM cards and associated peripherals.
• Units: any hardware device (unit, tag, tracker, QR code, etc.) enabling the collection, transmission or reception of Data via the Services.
• Telematics Services / Services: all software and technical services enabling the collection, analysis, visualisation and transmission of Data between the Units and the Platform.
• Mobile Communication Services: telecommunications services provided by third-party operators (2G, 3G, 4G, 5G, LTE, satellite, Internet).
• Subscription: access to the Services in return for payment of a periodic fee.
• Data: information transmitted by the Units, including location data, technical data, CAN data, events, messages or analytical information.
• Contract / Agreement: the agreement binding Powerconcept and the Client, comprising the offer, purchase order, these general terms and conditions and, where applicable, Specific Conditions.
• Rentals: amounts due in respect of the rental of Products.
• Platform: secure IT system operated by Powerconcept providing access to the Services.
• Website: in particular tracker4fleet.com and/or powerconcept.be.

Article 2 · Scope of application

These general terms and conditions apply to all offers, orders, contracts and services provided by Powerconcept, to the exclusion of any conditions issued by the Client. Any derogation shall only be valid if agreed in writing in advance. In the event of conflict, the Specific Conditions shall prevail.

Powerconcept reserves the right to amend these general terms and conditions. Any amendments shall take effect after notification to the Client.

Article 3 · Telematics services

3.1. Powerconcept grants the Client a non-exclusive, personal and non-transferable right to use the Services.

3.2. The Client is responsible for:

• the correct installation of the Units;
• the compatibility of its vehicles and equipment;
• its Internet access and web browser;
• the correct configuration and use of the Services.

3.3. Powerconcept aims for an annual Service availability exceeding 99%, without guaranteeing the total absence of interruptions related to third-party networks.

3.4. The Client acknowledges that the Services are provided in SaaS (Software as a Service) mode and are subject to evolution.

3.5. Any abusive, fraudulent or non-compliant use is strictly prohibited.

3.6. Integrated SIM cards may only be used for the Services.

3.7. The Client is responsible for maintaining the confidentiality of its access credentials.

3.8. Powerconcept may modify the interface, presentation or functionalities of the Platform.

Article 4 · Offers and orders

Offers are valid for 30 days. Any accepted order constitutes a binding commitment by the Client. In the event of cancellation prior to execution, Powerconcept may charge a minimum indemnity of 30% of the total amount. Late cancellations of appointments, interventions or installations may result in flat-rate charges of up to EUR 150 excl. VAT.

Article 5 · Delivery times

Delivery times are indicative only. Any delay shall not give rise to compensation or contract termination.

Article 6 · Force majeure

Any event of force majeure shall suspend performance of the Contract. After 60 working days, either Party may terminate the Contract without compensation.

Article 7 · Shipping and returns

Products are transported at the Client's risk. No return shall be accepted without prior written agreement.

Article 8 · Warranty

Limited hardware warranty subject to manufacturer conditions. Exclusion applies in the event of misuse, non-compliant installation or third-party intervention. Batteries, consumables and travel costs are excluded unless otherwise stated.

Article 9 · Satisfied or refunded (optional)

Subject to prior written acceptance, a right of withdrawal of 15 days applies after activation.

Article 10 · Insurance and deposit (rental)

The Client must insure the rented equipment. A security deposit may be required.

Article 11 · Prices, fees and indexation

Prices are exclusive of VAT. Any month started is payable in full. Annual indexation may apply. Pricing adjustments may be made in the event of a change in the number of Units.

Article 12 · Payment terms

• Advance payment required.
• Late payment interest: 1% per month.
• Fixed compensation: 15% (minimum EUR 50 excl. VAT).
• Retention of title applies until full payment has been received.

Article 13 · Duration and termination

Duration as defined in the offer. Automatic annual renewal. Early termination subject to indemnity. Mandatory return of equipment.

Article 14 · Limitation of liability

Liability is limited to the amounts paid during the last six months, except in cases of gross negligence or wilful misconduct.

Article 15 · Data and connectivity

Powerconcept relies on third-party networks and does not guarantee total coverage.

Article 16 · Complaints

Any complaint must be submitted within the contractual time limits, failing which it shall be time-barred.

Article 17 · Intellectual property

All intellectual property rights are reserved to Powerconcept and Tracker4Fleet.

Article 18 · Confidentiality

The confidentiality obligation applies without time limitation.

Article 19 · Personal data and GDPR

The Client guarantees GDPR compliance with respect to Users. The processing of personal data carried out by Powerconcept is described in the privacy policy.

Article 20 · Commercial references

Powerconcept may refer to the Client as a commercial reference unless expressly opposed in writing.

Article 21 · Miscellaneous

Partial invalidity shall not affect the validity of the remaining provisions.

Article 22 · Applicable law and jurisdiction

Belgian law shall apply. Exclusive jurisdiction lies with the courts of the judicial district of Nivelles.

Article 23 · Mobile application and licence to use

The Tracker4Fleet mobile application provides access to the telematics services from a compatible device. Powerconcept grants the User a personal, non-exclusive and non-transferable right to use the application, limited to the duration of the subscription or authorised access. The User shall not copy, modify, decompile or reverse-engineer the application, except as permitted by law. The application, its trademarks, logos and content remain the property of Powerconcept and its licensors, where applicable.

Article 24 · User account and security

Access to the application requires credentials provided or validated by Powerconcept or by the Client. The User is responsible for keeping their credentials confidential and for all activity carried out from their account. Any loss, theft or unauthorised use must be reported without delay. Powerconcept may suspend access in the event of abusive, fraudulent use or use contrary to these terms and conditions.

Article 25 · Updates and availability

The application may be subject to updates intended to fix, secure or improve the service. Some updates may be necessary for the proper functioning of the application or its compatibility with recent versions of operating systems. Powerconcept may temporarily interrupt the service for maintenance and is not responsible for unavailability attributable to networks, devices or third-party app stores.

Article 26 · App stores

The application is distributed via the App Store (Apple) and Google Play (Google). Downloading and installation are also subject to the conditions of the relevant store. Apple and Google act as distributors and are not parties to the service contract concluded with Powerconcept; they provide no support relating to the telematics services, which is provided by Powerconcept.

Article 27 · Device permissions and location

The application may require access to certain device features, in particular location, including in the background, as well as the sending of notifications. These permissions are requested from the User, who may grant or withdraw them in their device settings; withdrawing them may limit certain features. The processing of location data is described in the privacy policy.
